Terms and Conditions

B2B Terms and Conditions
Company: Parto CRS
Website: www.PartoCRS.com

1. Scope and Definitions

These Terms govern access to the online booking platform and any enabled application programming interface (“API”) operated by Parto CRS (“Company”).

The platform provides business access to flight, hotel and rail booking services.

“Account Holder” or “Customer” means the legal entity or business identified in the signed B2B agreement and approved account registration. Individual users and representatives do not replace it as the contracting party.

“Supplier” means the relevant airline, hotel, rail operator or other identified provider responsible for supplying the underlying travel service.

“Business Day” means a day on which banks are ordinarily open for business in Dubai, United Arab Emirates.

“Authorised Withdrawal Representative” means a director or representative whose authority to request bank withdrawals has been separately documented and verified by the Company. Booking permissions and administrator status alone do not establish withdrawal authority.

“Authorised Written Withdrawal Request” means a request sent by an Authorised Withdrawal Representative from a registered and verified email address to Sales@Partocrs.com, identifying the Customer, account, requested amount and currency, receiving bank details, and requester’s name and capacity.

“Withdrawable Balance” means cleared Customer funds and final refund credits that the Customer is entitled to receive in cash following reconciliation. It excludes credit facilities, non-cash promotional credits, provisional refunds and amounts properly committed or reserved for identified transactions or documented obligations.

The platform is intended for approved business customers. Mandatory rights remain unaffected.

2. Contract Documents

Unless the signed B2B agreement expressly provides otherwise, conflicts are resolved in this order:

1. Mandatory applicable law.
2. The signed B2B agreement and its valid amendments.
3. Booking-specific conditions disclosed and accepted before purchase.
4. These Terms.

Supplier conditions govern the underlying service where applicable. They do not override the Company’s express obligations.

These Terms do not unilaterally amend an existing signed agreement.

3. Acceptance at First Login

The Customer’s director or duly authorised representative must review and expressly accept these Terms at first login before purchasing functions or API transaction access are activated.

The accepting person confirms their authority to bind the Customer. Platform administrator status alone does not establish that authority.

Acceptance requires an affirmative action using a checkbox that is not preselected. The accepted version, acceptance time and identifying records will be retained.

A person without authority must not accept on the Customer’s behalf. Transaction access remains disabled pending valid acceptance.

The Terms will be available to view and download before acceptance.

4. User Administration and Removal

The Customer is responsible for creating, authorising, reviewing, restricting, disabling and deleting its users and assigning appropriate permissions.

Access must be promptly removed when employment, engagement or authority ends or changes.

Users must protect their credentials and discontinue use when authority ends. Their individual duties do not release the Customer from responsibility.

The Customer must revoke or rotate affected passwords, API keys, tokens, sessions and integration permissions. Deleting a user profile does not necessarily revoke credentials or sessions that remain active.

The Company is not responsible for monitoring the Customer’s staffing or internal authority arrangements.

Subject to Section 7, the Customer remains responsible for transactions attributable to access it failed to revoke.

Where revocation cannot be completed through available controls, an identifiable request must be sent promptly to Sales@Partocrs.com. Responsibility for subsequent activity will reflect receipt, reasonably available action and applicable law.

The Customer is not responsible for the Company’s failure to implement a correctly completed revocation.

User removal does not cancel completed transactions or require deletion of lawfully retained records.

5. Portal and API Instructions

The Customer authorises processing of booking, ticketing, amendment, cancellation and other instructions submitted through its account or assigned API credentials, subject to agreed permissions and controls.

It is responsible for instructions submitted by its users, employees, agents, contractors and connected systems within entrusted access or authority.

Subject to Section 7, the Company may rely on instructions authenticated using valid assigned credentials and processed under agreed authentication procedures without separate management approval or written or telephone confirmation for each transaction.

Lack of separate director approval does not itself release the Customer from responsibility.

Orders outside the platform or API require a separately agreed written procedure identifying authorised persons and channels.

6. Credentials and Integrations

The Customer must protect credentials, authentication devices and recovery methods, control access to its email and systems, and use controls required by the agreement or API documentation.

Credentials must not be exposed through public repositories, client-side code or unsecured communications.

The Customer is responsible for its applications and integrations, including transaction validation, retry handling and duplicate-request prevention. Documented idempotency controls must be implemented where provided.

Transactions caused by Customer-controlled integration errors remain its responsibility to the extent attributable to those matters. This does not transfer responsibility for Company-system errors.

7. Misuse and Responsibility

To the extent permitted by law, the Customer bears the financial consequences of transactions resulting from:

(a) credentials shared, disclosed or inadequately protected by it or persons entrusted with access;
(b) misuse of entrusted access by its employees, agents, contractors or integration providers;
(c) compromise of Customer-controlled systems or devices; or
(d) failure to revoke access when required.

This includes booking prices and properly disclosed charges, even if a transaction did not benefit the Customer.

The Company is not responsible for losses to the extent caused by those matters.

Nothing excludes liability that cannot lawfully be excluded or limited, including the Company’s fraud, wilful misconduct or gross negligence.

The Customer is not responsible under this section for losses to the extent caused by the Company’s breach of applicable security obligations or failure to apply agreed controls.

Shared responsibility will be assessed according to each party’s contribution and applicable law.

No dedicated security-support service, monitoring of Customer systems or guaranteed security-response time is promised. Applicable legal obligations remain unaffected.

8. Intermediary Role and Supplier Conditions

8.1 Intermediary Capacity

The Company acts solely as a booking intermediary for all flight, hotel and rail services. It does not operate flights, provide accommodation or operate rail services.

The relevant Supplier supplies and operates the underlying service.

8.2 Supplier Rules

Service conditions are determined by the Supplier, including fare restrictions, ticketing deadlines, baggage rules, accommodation conditions, amendments, cancellations, no-shows and refund eligibility.

The Company communicates and administers these conditions. It does not independently determine, amend or waive them or guarantee exceptions without Supplier authorisation.

8.3 Disclosure for Each Reservation

Applicable conditions and material restrictions are clearly displayed or directly accessible within each reservation before purchase confirmation.

The Customer must review them before submitting the order. Confirmation constitutes acceptance of the disclosed conditions.

The version presented and accepted governs the booking, subject to mandatory law and subsequent changes validly agreed or lawfully applicable.

A general reference to Supplier rules does not replace disclosure of material booking restrictions.

8.4 Supplier Performance

The Supplier is responsible for performing the underlying service and decisions within its control.

The Company communicates relevant requests and responses within its agreed intermediary role. It does not guarantee approval of changes, exceptions or refunds outside applicable conditions.

Intermediary status does not exclude responsibility for the Company’s own errors, mishandling of funds or contractual breaches.

8.5 Company Service Fees

The Company’s fee, whether separate or included in the booking total, will be identified and disclosed before purchase.

Once the relevant intermediary service has been performed, its disclosed fee is earned and non-refundable if the underlying service is subsequently cancelled, except where mandatory law requires otherwise or the refund arises from the Company’s failure to perform its obligations.

A Supplier refund does not itself make the Company’s fee refundable.

8.6 Additional Services

Separate fees may apply to amendments, reissuance, cancellation processing, refund administration and other assistance.

Before providing additional services, the Company will disclose their scope, its fee and applicable Supplier charges.

The Customer’s affirmative instruction to proceed after disclosure accepts those charges and authorises debit or payment under the agreed arrangement.

An enquiry or quotation request alone is not approval.

Fees for unperformed additional services will be released or refunded, except for separately disclosed and authorised work already performed, subject to law.

No fee will be collected or deducted twice.

9. Prices and Confirmation

Prices and availability may change before confirmation.

The Customer must check traveller information, dates, routes, service category, currency, total price and applicable conditions before ordering.

Company fees, taxes and conversion charges must be disclosed before purchase.

A request, reservation reference or reservation of funds does not necessarily establish final confirmation or ticket issuance. The applicable confirmation event is identified in the booking flow.

Failed issuance or confirmation will be notified and associated funds reconciled. Material substitutions or price increases require Customer authorisation.

10. Bank Transfers and No Third-Party Funding

Payments are accepted only by bank transfer to an officially designated account held in the Company’s legal name.

The originating account must belong to the same legal person as the Customer.

Payments from passengers, end customers, directors, shareholders, employees, relatives, affiliates or other separate persons are not accepted merely because they are associated with the Customer.

For sole establishments or similar structures, acceptable ownership and account title must be verified during onboarding.

Transfers must include the requested account identifier and reference. Bank-generated supporting evidence may be required.

A receipt or screenshot does not establish cleared receipt. Intermediary or pooled transfers will not be credited unless compliant originating ownership can be verified.

11. Unidentified or Rejected Transfers

Unidentified or non-compliant transfers may remain unallocated and unavailable pending verification.

Receipt does not constitute acceptance of prohibited funding.

Subject to legal and banking requirements, rejected funds will be returned to the verified originating account, not redirected to another person.

External bank deductions must be lawful, documented and disclosed.

12. Funding and Credit

Funds become available after cleared receipt, identification and reconciliation.

Balances are accounting records under the B2B agreement, not interest-bearing deposits or investments.

Credit facilities require separate written agreement. Credit and promotional balances are not automatically withdrawable cash.

13. Account Records and Online Statements

13.1 Balance Categories

Purchasing power or total displayed balance is not necessarily a Withdrawable Balance.

Records will distinguish cleared funds, credit facilities, non-cash credits, reservations, provisional refunds and final refund credits as applicable.

An internal designation alone does not establish that funds are non-withdrawable.

13.2 Debits and Reservations

Submitting an order authorises reservation or debit of the disclosed amount.

Temporary reservations and final charges must be distinguishable. Reservations must relate to identified orders or documented obligations and be reviewed when their basis changes.

No indefinite general reserve may be imposed solely because a withdrawal is requested.

13.3 Allocation and Set-Off

Allocation and set-off must comply with the agreement and law and relate to documented obligations.

Another legal person’s liabilities cannot be charged without an enforceable basis or express contractual authorisation.

A disputed ledger entry does not establish the claim. Any related withholding must be legally justified and proportionate.

13.4 Self-Service Statements

The platform is the primary channel for transaction histories, invoices, refunds, adjustments and account statements.

The Customer must regularly review its transactions and download and retain available documents.

Unless required by the signed agreement or mandatory law, the Company need not separately email, post or manually deliver each statement or transaction notice. Reasonably accessible and retrievable online provision satisfies this contractual delivery arrangement.

Failure to review records does not itself invalidate transactions or release the Customer from obligations.

13.5 Discrepancies and Access

Discrepancies must be reported promptly in writing to Sales@Partocrs.com, identifying the transaction, amount and grounds.

Delay may be considered when assessing avoidable loss, but does not automatically extinguish unused funds or non-waivable rights.

If records are inaccessible because of malfunction, suspension or closure, the Customer must request them through that email. Relevant records will be supplied through a reasonable alternative, subject to authority verification.

Mandatory invoicing and record-retention duties remain unaffected.

14. Traveller Information and Notifications

The Customer must ensure traveller details are accurate and communicate accepted conditions to travellers.

Travel documents, visas and entry or transit requirements remain the Customer’s and traveller’s responsibility unless the Company expressly undertakes a related service.

The Customer must monitor designated operational channels and promptly relay received updates.

The Company remains responsible for transmitting information it is contractually required to transmit.

15. Cancellations, Refunds and Bank Withdrawals

15.1 Booking Requests

Changes and cancellations must be requested through Sales@Partocrs.com. Submission is not completion; processing and confirmation are required.

Eligibility and charges follow the Supplier conditions accepted for the booking, separately disclosed Company fees and mandatory law.

Customer cancellation, Supplier cancellation, failed issuance and Company error are assessed separately.

15.2 Refunds to the Platform

Final refundable amounts will be credited to the same Customer platform account from which the booking was paid.

Credits may be used for future purchases. They do not automatically initiate bank transfers.

Earned non-refundable Company fees are excluded under Section 8. No previously collected fee will be deducted again.

Expected Supplier recoveries may be provisional and must not be represented as cleared withdrawable funds before entitlement and payment obligations are established.

Supplier recovery does not postpone an independent obligation owed by the Company.

15.3 Written Bank-Withdrawal Request

Every bank withdrawal requires an Authorised Written Withdrawal Request, including after account suspension or closure.

Oral instructions, calls, WhatsApp messages, API requests, booking cancellations, closure requests and general refund enquiries are insufficient.

Written submission does not replace verification.

15.4 Verification

The Company may require proportionate evidence of identity, current withdrawal authority, destination ownership, funding and available refundable funds.

Before issuing payment, it will independently confirm instructions through a previously verified method separate from the requesting email, or another method agreed in writing.

Registered email possession alone is insufficient. New contact or bank details cannot be verified solely through those newly supplied details.

Processing may be paused for identifiable discrepancies, suspected impersonation or lawful restrictions. Verification cannot be used to delay payment indefinitely.

15.5 Destination

The normal destination is the verified original funding account belonging to the Customer.

Multiple funding accounts require documented allocation.

A replacement account is exceptional and requires evidence that the original cannot receive payment, verification of the same legal owner, documented representative approval, independent confirmation and compliance with legal and banking requirements.

No payment will be made to a passenger, guest, employee, director, shareholder, affiliate or other third party.

15.6 Timing

Within five Business Days of receipt at the designated email, the Company will provide an initial response identifying material missing information.

It will issue the transfer instruction within ten Business Days after receipt of a complete request and completion of verification and reconciliation, conducted without undue delay.

If a material unresolved issue or lawful restriction prevents completion, status and an estimated next review date will be provided where disclosure is permitted. The position will be reviewed at least every ten Business Days.

Bank receipt and onward processing are additional.

An independently reconciled amount legally payable and unaffected by outstanding items will be processed without awaiting unrelated disputes.

15.7 Fees and Failed Transfers

Bank details must be accurate; changes require renewed verification.

External bank and conversion charges must be lawful and disclosed. Conversion terms require agreement before transfer.

Rejected or returned payments will be reconciled and a verified retry arranged. Failure does not extinguish the balance.

15.8 Non-Interest-Bearing Balance

Advance payments and refund credits do not earn interest or investment returns.

No contractual late-repayment penalty or compensation merely for the passage of time accrues before or after a request, to the fullest extent permitted by law.

This does not exclude non-waivable remedies or permit indefinite retention of sums due.

16. Supplier Adjustments

Supplier penalties and Agency Debit Memos may be charged where attributable to Customer transactions and supported by applicable conditions.

Their basis will be recorded and information reasonably necessary for review provided, subject to lawful confidentiality restrictions.

The same obligation will not be charged twice.

17. Agreed Evidentiary Status

Electronic records maintained in ordinary platform operations constitute the parties’ agreed records of corresponding events.

To the fullest extent permitted by law, records attributable to the account and maintained with authenticity and integrity preserved shall be conclusive, final and binding evidence between the parties of the events they accurately record.

The Customer will not dispute them solely because they are electronic, held by the Company, lack handwriting or concern transactions without separate management approval.

This does not validate fabrication, fraudulent alteration or material inaccuracy, or exclude a challenge or power that cannot lawfully be excluded.

Relevant underlying records will be preserved and made available where lawfully required. Extracts must accurately reflect them.

If conclusive effect is unenforceable, the records retain the admissibility and weight provided by applicable law.

Deleting users or revoking access does not invalidate historical records. An allegation of unauthorised use does not itself establish automatic reimbursement.

18. Retention of Technical Records

Technical records are retained under the Company’s documented retention schedule and Privacy Policy, according to their purpose, necessity and applicable requirements.

Routine technical logs may expire under that schedule. Records identified as relevant to an investigation, dispute or legal requirement will be subject to proportionate preservation and periodic review.

Neither user removal nor account closure automatically requires erasure of lawfully retained records.

The Company does not promise indefinite retention of every technical event or collection of information not actually recorded.

19. Suspension and Closure

Access may be restricted where reasonably necessary for suspected compromise, unlawful activity, material breach, non-payment or a binding legal requirement.

Reasons and resolution steps will be communicated where lawful and practicable.

Suspension does not automatically cancel bookings or extinguish balances or refund entitlements.

Outstanding transactions will be reconciled. The designated withdrawal channel remains available after platform access ends.

20. Liability and Disruption

Each party remains responsible for its own obligations under applicable law.

Any additional damages cap or exclusion must be expressly agreed in the signed B2B agreement and is subject to mandatory law.

A cap does not automatically extinguish an independent obligation to return unused funds or amounts due for refund.

Events beyond reasonable control excuse affected performance only as permitted by the agreement and law, without automatically extinguishing accrued payment obligations.

Section 7’s mandatory exceptions apply throughout.

21. Privacy and Confidentiality

Personal data is handled under the Privacy Policy and applicable data-processing agreements.

The Customer must have a lawful basis to supply others’ data, provide required notices and obtain consent where required.

The Company remains responsible for its own obligations.

Lawful necessary disclosures may be made for services, advice, compliance and legal proceedings.

22. Amendments

Changes identify their effective date and version.

Material changes require advance communication and renewed express acceptance before further purchasing or API transaction use.

Earlier transactions and accrued rights remain governed by their applicable terms unless a lawful amendment is expressly agreed.

New versions do not retrospectively change completed transactions or existing disputes.

23. Governing Law and Disputes

The signed B2B agreement’s governing-law and dispute-resolution provisions apply.

Each Customer must have a written agreement specifying those matters before activation.

These Terms do not replace an existing dispute-resolution agreement.

24. Contacts and Severability

Bookings: Sales@Partocrs.com
Statements and reconciliation: Sales@Partocrs.com
Written withdrawal requests: Sales@Partocrs.com
Access and authority administration: Sales@Partocrs.com
Contractual notices: Sales@Partocrs.com
Privacy: Sales@Partocrs.com

Only qualifying requests at the designated withdrawal email initiate its contractual processing timetable. Mandatory notice and service rules remain unaffected.

If the platform is unavailable, operational requests may be sent to Sales@Partocrs.com. Receipt does not itself complete a change or cancellation.

No dedicated security-support service or guaranteed security-response time is created by these contacts.

An unenforceable provision will be limited or severed as permitted by law without automatically invalidating the remainder.
